Supplier / Tour Operator Agreement

Parties: Idea Holiday Private Limited, CIN U63030UP2022PTC172520, GSTIN 09AAGCI8928Q1ZK, registered office Shop No 129, Deva Palace, Viram Khand-1, Gomtinagar, Lucknow, Uttar Pradesh 226010 (“Tripzoy”, “we”) and the business that registers on tripzoy.com (“Supplier”).
1. Platform role
Tripzoy runs an online marketplace that passes customer trip requests to partners and collects payments for them. Tripzoy is not the provider of the travel services the Supplier sells. For each booking from a listing or quote, the contract for travel services is between the Supplier and the customer.
2. Eligibility and KYC
The Supplier must be a business registered in India with a valid PAN, GSTIN, bank account in the business's name, and a working mobile and email. It must upload the KYC documents listed on the site (PAN, GST certificate, cancelled cheque or bank letter, business registration/proof of address, ID of the authorised person). The Supplier must keep them current. Tripzoy may approve, reject or suspend an account at its discretion, and may verify details with third parties (including Cashfree for vendor onboarding).
3. Product listings
The Supplier lists products with accurate descriptions, photos it owns or has rights to, inclusions, exclusions, essential information, meeting points, terms and cancellation policy. Products are published only after Tripzoy reviews them. The Supplier must keep availability and rates current. Inventory shown as available must be honoured.
3A. Use by agents
Tripzoy agents may include the Supplier's products in their quotes at the Supplier's published rate plus their own markup. When an agent-quoted booking uses the product, the Supplier provides it to the agent's customer on the same terms.
4. Non-circumvention
For 12 months after a customer is introduced through Tripzoy, the Supplier must not take that customer's booking for the same or a similar trip outside the platform, or move them to another channel to avoid commission. If it does, the Supplier pays the commission that would have applied, plus 100% of it as liquidated damages, and Tripzoy may suspend the account. Repeat customers the Supplier can show it served before the introduction date are excluded.
5. Rate parity
Rates on Tripzoy will not be higher than the Supplier's public rates for the same product and date on its own channels.
6. Pricing and taxes
The Supplier sets its own prices. It chooses its GST scheme (5% tour-operator or 18%) and is responsible for the GST charged on its supplies and for depositing the income-tax TCS on overseas packages. The Supplier authorises Tripzoy to:
- (a) generate tax invoices, credit notes and vouchers in the Supplier's name and GSTIN for bookings on the platform, using an invoice series reserved for it;
- (b) collect customer payments through Tripzoy's payment partner;
- (c) deduct the items in clause 7 before paying out.
7. Commission and deductions
The default commission is 10% of the taxable value for direct bookings, plus GST. When an agent uses the product, the Supplier is paid its rate by the agent's booking split, and Tripzoy may charge a supplier commission as shown in the portal. Tripzoy also deducts GST-TCS under section 52 of the CGST Act, TDS under the Income-tax Act 2025 and, if the portal settings say so, gateway fees.
Tripzoy issues a commission tax invoice, a monthly statement, and TDS/TCS certificates. Rate changes apply only to bookings made after 15 days' notice.
8. Payouts
Customer payments are split through Cashfree Easy Split into the Supplier's vendor balance. Tripzoy releases a booking's payable amount on the settlement schedule shown in the portal (default: weekly, for bookings where travel has started or that have been confirmed for 7 days or more), less refunds, chargebacks and amounts due to Tripzoy. Tripzoy may hold payouts for bookings under complaint, chargeback or investigation.
9. Fulfilment
The Supplier confirms each booking within 24 hours (or instantly where the listing says “instant confirmation”) and honours the vouchers Tripzoy issues. It must deliver every service booked, give the customer a contact during the service, and, if a service cannot be delivered, offer an equal or better alternative at no extra cost, or a refund.
10. Cancellations and refunds
The cancellation policy in the accepted listing applies. If the Supplier cancels or fails to deliver, the customer gets a full refund of the affected services, and the Supplier bears the refund and any gateway costs. Tripzoy may process the refund from the Supplier's balance or future payouts.
11. Customer complaints
The Supplier must respond to complaints raised through the platform within 24 hours and help Tripzoy's grievance officer resolve them within 30 days. Tripzoy may make a decision for the customer on a well-supported complaint and recover the amount from the Supplier.
12. Reviews and ranking
Customers may review the Supplier after travel. The Supplier must not post or buy fake reviews, or put pressure on customers about reviews. Tripzoy ranks listings using ratings, response time, conversion and workload, and may change these factors.
13. Data protection
The Supplier gets customer personal data only to fulfil the trip. It must:
- (a) use it only for that purpose;
- (b) protect it with reasonable security;
- (c) not sell it, share it or use it for marketing without the customer's separate consent;
- (d) delete it within 90 days after the trip, unless the law requires keeping it;
- (e) tell Tripzoy of any data breach within 24 hours.
Each party is responsible for its own compliance with the Digital Personal Data Protection Act 2023.
14. Conduct and legal compliance
The Supplier holds all licences its services need, follows the law (including consumer, tax, foreign exchange and tourism rules), and does not use the platform for illegal, misleading or abusive activity.
15. Branding
The Supplier may say it is “a travel partner on Tripzoy”. It may not use the Tripzoy logo in other ways, or claim “verified/approved by Tripzoy” beyond the KYC badge the platform shows.
16. Liability and indemnity
The Supplier is liable for its services and indemnifies Tripzoy against claims, penalties and costs arising from its services, listings, taxes, data misuse or breach of these terms. Tripzoy's total liability to the Supplier is limited to the commission it earned from the Supplier in the previous 3 months. Neither party is liable for indirect losses.
17. Suspension and termination
Either party may end this agreement with 15 days' notice. Tripzoy may suspend immediately for fraud, a KYC failure, non-circumvention breach, repeated complaints or legal risk. Bookings already confirmed must still be fulfilled; clauses 4, 7, 10, 13 and 16 survive.
18. Changes
Tripzoy may update these terms by notice in the portal and by email. Continuing to list products or accept bookings 15 days after the notice means acceptance.
19. Law and disputes
Indian law applies. Disputes go first to good-faith talks for 30 days, then to arbitration by a sole arbitrator under the Arbitration and Conciliation Act 1996, seated in Lucknow, in English. Courts at Lucknow have exclusive jurisdiction for interim relief.
